1. Who you are contracting with
These Terms & Conditions ("Terms") are a binding agreement between you and FPX Financial Corp ("FPX Financial", "we", "us", "our"), the operator of Billion CRM (the "Service"). By accessing, signing up for, or using the Service you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.
2. The Service
Billion CRM is a sales-operations platform for insurance teams that includes CRM, pipeline, calendar, AI voice agents, transcription, and related features. We may add, modify, or discontinue features at any time. We do not guarantee uninterrupted or error-free operation.
3. Accounts and acceptable use
You must provide accurate information, keep your credentials confidential, and are responsible for all activity under your account. You must not:
- use the Service unlawfully, fraudulently, or to send spam;
- infringe intellectual property or privacy rights of others;
- probe, scan, scrape, reverse-engineer, or otherwise interfere with the security or integrity of the Service;
- upload malware or attempt to gain unauthorized access to other accounts.
4. Intellectual property
The Service, including all software, documentation, branding, and content provided by us, is and remains the property of FPX Financial Corp and its licensors. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service in accordance with these Terms and the plan you have purchased. You retain ownership of the data and content you submit to the Service and grant us a limited license to host and process it solely to provide the Service.
5. Payments, subscriptions and Merchant of Record
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
Payment, billing, tax, cancellation, and refund mechanics are governed by Paddle's Buyer Terms and by our Refund Policy. Subscriptions renew automatically for the billing interval you selected (monthly or yearly) until cancelled. You can manage or cancel your subscription at any time via paddle.net.
6. Suspension and termination
We may suspend or terminate your access to the Service for: material breach of these Terms, non-payment, fraud or security risk, or repeated or serious policy violations. You may stop using the Service at any time by cancelling your subscription. Upon termination, your right to use the Service ends; we may retain or delete your data in accordance with our Privacy Notice.
7. AI features and accuracy
The Service includes AI-generated outputs (call transcripts, summaries, recommendations, voice agents). These outputs may be inaccurate or incomplete and are not a substitute for licensed insurance, legal, financial, or tax advice. You are responsible for reviewing outputs, complying with applicable laws (including call-recording consent in two-party consent states), and for the prompts and content you submit. We may filter, restrict, or remove content that violates these Terms.
8. Warranties and liability
To the fullest extent permitted by law, the Service is provided "as is" and we disclaim all implied warranties, including merchantability and fitness for a particular purpose. Our aggregate liability for any claim arising out of or relating to the Service is capped at the fees you paid to us in the twelve (12) months preceding the claim. We are not liable for indirect, consequential, special, incidental, or punitive damages, including loss of profits, data, or goodwill. Nothing in these Terms excludes liability that cannot be excluded under applicable law.
9. Indemnity
You agree to indemnify and hold FPX Financial Corp harmless from any third-party claim arising out of your content, your use of the Service in violation of these Terms, or your violation of applicable law.
10. Governing law
These Terms are governed by the laws of the jurisdiction in which FPX Financial Corp is established, without regard to its conflict-of-law rules. Disputes will be resolved by the competent courts of that jurisdiction.
11. Changes to these Terms
We may update these Terms from time to time. Material changes will be announced in the Service or by email; continued use after the changes take effect constitutes acceptance.
